01 Introduction
These Terms & Conditions ("Terms") govern your engagement with Tarun Puri ("I," "me," or "my") for freelance Google Ads management, web design, and/or SEO services. By booking a consultation, signing a proposal, or making a payment, you ("Client," "you") agree to these Terms.
If you do not agree with any part of these Terms, please don't proceed with booking or payment until any concerns are resolved directly with me.
02 Services Provided
Depending on what's agreed for your specific project, services may include:
- Google Ads campaign setup, management, and optimization
- Website design and development (new builds, redesigns, landing pages, e-commerce)
- SEO services including technical audits, on-page optimization, content strategy, and link building
The exact scope, deliverables, and timeline for your project will be confirmed separately (via proposal, email, or written agreement) before work begins.
03 Engagement & Scope of Work
Each project begins with an agreed scope of work, which may cover deliverables, number of pages/campaigns, timeline, and pricing. Any work requested outside this agreed scope will be treated as additional and may involve extra cost or timeline, to be discussed and approved before proceeding.
Estimated timelines are provided in good faith but may shift based on client response times, content delivery, or the complexity of requested changes.
04 Payment Terms
- Project-based work (e.g. website builds) typically requires an upfront deposit before work begins, with the balance due on completion or per an agreed milestone schedule
- Ongoing services (e.g. Google Ads management, SEO retainers) are billed monthly in advance, separate from any ad spend paid directly to Google
- Payment is due within the timeframe stated on the invoice; late payments may result in paused work until settled
- All prices are exclusive of applicable taxes unless stated otherwise
05 Client Responsibilities
To keep your project on track, you agree to:
- Provide necessary content, access (e.g. website, ad account, hosting), and feedback in a timely manner
- Ensure any content, images, or brand assets you provide don't infringe on third-party rights
- Respond to review requests within a reasonable time, as delays can affect the project timeline
06 Revisions & Approvals
Design and campaign work typically includes an agreed number of revision rounds, as specified in your proposal. Additional revisions beyond this may be billed separately. Once a design, campaign, or deliverable is approved by you in writing (including over email or WhatsApp), it's considered final for that stage of the project.
07 Ownership & Intellectual Property
- Websites: upon final payment, ownership of the completed website design and code transfers to you. Any third-party licenses (themes, plugins, stock assets) remain subject to their original license terms.
- Ad accounts: your Google Ads account remains fully owned and controlled by you at all times; I work within it as a manager.
- Pre-existing tools/frameworks: any reusable code, templates, or processes I bring into a project remain my own intellectual property and are not exclusively transferred.
08 Cancellation & Refunds
- Either party may cancel an ongoing monthly engagement (Ads management, SEO retainer) with 15 days' written notice
- Deposits paid for project-based work are non-refundable once work has begun, as they cover time already committed
- Completed milestones or deliverables already paid for are non-refundable
- If you cancel a project mid-way, you'll be billed for work completed up to that point
09 No Guarantee of Results
Google Ads performance, SEO rankings, and website conversion outcomes depend on many factors outside my direct control, including market competition, platform algorithm changes, ad budget, and industry conditions. While every reasonable effort is made using proven, ethical practices, no specific ranking, traffic, lead volume, or return on ad spend is guaranteed.
Any performance figures shared during consultations or proposals are estimates based on past experience, not commitments.
10 Confidentiality
Any business information, account access, or data shared during our engagement will be treated as confidential and used solely for the purpose of delivering the agreed services. I won't share your business data, ad account details, or strategy with third parties without your consent, except where required by law.
11 Limitation of Liability
To the extent permitted by law, my total liability for any claim arising from these services is limited to the amount paid by you for the specific service in question. I'm not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunity, arising from the use of your website, ad campaigns, or SEO strategy.
12 Termination
Either party may terminate a project or ongoing engagement if the other party breaches a material term of these Terms and fails to correct it within a reasonable period after being notified in writing. Upon termination, payment is due for all work completed up to the termination date.
13 Governing Law
These Terms are governed by the laws of India. Any disputes arising from these Terms or any engagement will first be attempted to be resolved amicably, and if unresolved, will be subject to the jurisdiction of the courts in Mohali/Chandigarh, Punjab.
14 Changes to These Terms
These Terms may be updated from time to time to reflect changes in services, pricing structure, or legal requirements. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of my services after changes are posted constitutes acceptance of the updated Terms.
